RENTAL AGREEMENT This Letter of Agreement is by and between The Scottish Rite Center, hereinafter referred to as “THE SRC” and the event named above, represented by the person named above, and hereinafter referred to as “THE USER,” entered into in Charleston, South Carolina. This Letter of Agreement will supersede any previous understanding or contract. It is understood and agreed between the parties hereto that Time is of the Essence in all of the terms and provisions of this Letter of Agreement. This Agreement grants to THE USER no greater rights than expressly stated in this Agreement and specifically denies any right to THE USER of possession or occupancy which would be in violation of state and local law, or rules and regulations of THE SRC or the Scottish Rite Council. WITNESSETH Whereas, THE SRC is the operator of The Scottish Rite Center; and, Whereas, THE USER wishes to utilize space at THE SRC for the purpose of hosting a special event; Now, Therefore, in consideration of the mutual promise contained herein and other good and valuable consideration, the parties agree that: Term: This Agreement shall be for the term of the hours and date listed below. (“Commencement” and “Expiration” Date). Security Deposit: A refundable Security Deposit of $750 is due at the time the reservation is made. A full or partial refund will be issued not earlier than 21 business days following the end of the event if all THE USER’s contractual obligations have been satisfied and there is no damage to the facility or its contents. Cleaning Fee: A non-refundable cleaning fee of $250-600 shall be due at the time the reservation is made. This fee shall be used to clean the building from general use and is NOT intended to modify THE USER’s responsibilities to remove all of their items from the premises and to FULLY return the building to the condition is was in prior to the start of the event. Facilities and Payment: THE SRC is holding the facilities for use by THE USER as listed in Addendum A. In consideration of said Agreement, THE USER shall pay THE SRC according to the amount and terms as listed in Addendum A. THE USER agrees to pay all such additional fees and other costs directly associated with THE USER, if applicable, according to the terms as listed below. Use of facilities for any other purpose than listed above is prohibited without first obtaining the written consent of THE SRC therefore THE USER will conform to and comply with all applicable municipal, state and federal laws in using the facilities, and will not use or suffer to be used THE SRC facilities in any manner contrary to stated use and any applicable municipal, state or federal law, nor in such a manner as may tend to increase the existing rate of fire or liability insurance for the facilities. In the event of cancellation by THE USER, the terms of cancellation will apply as listed in Addendum A. Additional Services: In addition to the facilities identified above and in Addendum A, THE USER may also purchase certain additional services in support of THE USER, including but not limited to: food services, transportation services, engineering support and equipment All food and beverages (including alcoholic beverages) served at Scottish Rite Center must by supplied by SRC’s foodservice contractor or by an SRC approved vendor. Exceptions may be made only upon written approval of THE SRC. All outside vendors providing services at THE SRC are required to possess a business license and proper insurance coverage, referenced in Section 7 below. All outside vendors, additional services and set-up requirements associated with THE USER, including but not limited to: rental equipment, transportation, security detail, engineering support and power requirements must be listed in Addendum A. THE USER understands and agrees that unapproved changes may result in additional fees and may not be accommodated and/or may be THE USER shall not install (temporary or permanent) any fixed personal property except in consultation with and upon the approval of THE SRC. THE USER agrees to remove all other personal property from SRC no later than the time and date approved by THE SRC and contained within Addendum A. If THE USER fails to remove such property, it shall be deemed abandoned, and THE SRC reserves the right to dispose of the property in any manner it deems appropriate. THE USER agrees to hold THE SRC harmless for any damage to the property arising from the removal or disposal of the property. Alcohol: No alcoholic beverage shall be used, distributed, or permitted by THE USER on the Facilities without the express written consent of THE SRC, which consent, as of the date of this instrument, has NOT been If consent to have alcoholic beverages is granted at a future time, all laws regarding possession, licensing, and restricting alcohol shall be adhered to by THE USER. All outside vendors, additional services and set-up requirements associated with THE USER, including but not limited to: rental equipment, transportation, security detail, engineering support and power requirements must be listed in Addendum A. THE USER understands and agrees that unapproved changes may result in additional fees and may not be accommodated and/or may be THE USER shall not install (temporary or permanent) any fixed personal property except in consultation with and upon the approval of THE SRC. THE USER agrees to remove all other personal property from SRC no later than the time and date approved by THE SRC and contained within Addendum A. If THE USER fails to remove such property, it shall be deemed abandoned, and THE SRC reserves the right to dispose of the property in any manner it deems appropriate. THE USER agrees to hold THE SRC harmless for any damage to the property arising from the removal or disposal of the property. Security: THE USER shall be responsible for providing security for the facilities and surrounding buildings, grounds and equipment in the facilities and brought to the facilities by the All decisions regarding the security shall be made in consultation with such law enforcement agencies as may be in attendance at the event, including but not limited to: the South Carolina Law Enforcement Division, the City of Charleston Police Department, the Sheriff of Charleston County, and such other agencies or private security personnel as may be invited by the parties to participate in the event and associated activities. THE SRC will not be responsible for any equipment/property loss. If alcoholic beverages are specifically and expressly permitted for THE USER, at least one law enforcement officer shall be hired by THE PROGAM to serve as Security for the event and approved by THE SRC. Repairs and Alterations: THE USER shall take good care of the facilities, and the fixtures and appurtenances therein. All damage or injury to the facilities and to its fixtures, appurtenances and equipment caused by THE USER or its guests, whether resulting from moving property in or out of the facilities or by installation or removal of furniture, fixtures, or other property or resulting from short circuits or from any other cause of any kind or nature whatsoever due to carelessness, omission, neglect, improper conduct, or other cause of THE USER, its servants, employees, agents, visitors, invitees, or licensees shall be repaired, restored, or replaced promptly by THE USER at its sole cost and expense to the satisfaction of THE SRC. All repairs, restoration, and replacements shall be in quality and class equal to the original work or installations. If THE USER fails to make such repairs, restorations, or replacements, same may be made by THE SRC at the expense of THE USER, and shall be collectible as additional rent or otherwise and shall be paid by THE USER within three (3) days after rendition of a bill or statement thereof or as otherwise specified in this Agreement. THE SRC reserves the right to accept or require payment for damages in lieu of actual repair. Insurance: THE USER shall maintain a general liability insurance policy, both for itself and for any agents acting on behalf of THE USER, in the amount of not less than One Million ($1,000,000) dollars per event and Three Million ($3,000,000) dollars aggregate, which insurance policy shall name THE SRC, its governing board, officers, agents, employees, servants and assigns, and also The Supreme Council of Ancient and Accepted Scottish Rite 33°, as additional THE USER shall provide to THE SRC a Certificate of Insurance issued by its carrier with the signed contract. Indemnity: As a material part of the consideration to THE SRC, THE USER hereby assumes all risk and responsibility for losses, damages, judgments and/or expenses on account of all risks arising out of its use of and presence on THE SRC’s property and THE USER waives all claims against THE THE USER shall defend, hold harmless, and indemnify THE SRC, its governing board, officers, agents, employees, servants and assigns, and the State of South Carolina, from and against any and all liability and claims for damages of every kind and nature, including reasonable attorneys’ fees, for bodily injury, death, and/or property damage arising out of (1) THE USER’s use or occupancy of THE SRC property, or any activity or thing done, performed or suffered by THE USER, its agents, its employees, licensees, invitees or persons attending or participating in THE USER’s activities in or about the campus; or (2) any loss, injury, death or damage to persons or the campus on or about the campus by reason of any act, omission or negligence of THE USER, or any of its agents, its contractors, its employees, licensees, or invitees; or (3) any breach or default in the performance of any obligation on THE USER’s part to be performed under the terms of the Agreement between THE SRC and THE USER. By this agreement, THE USER specifically agrees to defend, hold harmless, and indemnify THE SRC, its governing board, officers, agents, employees, servants and assigns, and the State of South Carolina, from and against payment of all court costs, judgments, attorneys’ fees, court costs and testimony of witnesses necessary in the defense of any litigation arising out of this Agreement and use of the subject facilities. It is expressly understood and agreed that the agreement of THE USER to indemnify THE SRC under the provisions of this paragraph shall not be limited to the amounts of the liability insurance policy described elsewhere herein. Limitation of Liability: In no event will THE SRC’s aggregate liability to THE USER or any third party for any losses or damages that arise out of the performance or breach of this agreement, whether in contract, tort, or other form of action, exceed the total consideration set forth in Addendum A of this In no event shall THE SRC be liable for any special, incidental, exemplary or consequential damages, including, but not limited to, lost profits or loss of goodwill. THE USER acknowledges that the lease amounts reflect the allocation of risk set forth in this agreement and that THE SRC would not enter into this agreement on the terms hereof without these limitations on its liability. THE SRC represents and warrants to THE USER that it is the incident of the Facilities and facilities named above in fee simple. THE SRC makes no further representations or warranties. Force Majeure: Should events beyond the control of THE SRC, such as acts of God, war, curtailment or interruption of transportation facilities, threats or acts of terrorism or similar acts, disease, epidemic, State Department or other governmental or international agency travel advisory, civil disturbance, or any other cause beyond the parties' control, which would make it unreasonable or impossible to hold THE USER, either party may cancel the Agreement without liability upon written notice to the other Breach: Any breach of any of the terms in this Agreement shall be considered an item of default and THE SRC, in addition to exercising all remedies available at law, may immediately cease all functions of THE USER until such a default is remedied to THE SRC’s Advertising: THE USER agrees that no advertising or other matter shall be placed or posted or distributed in or about said described facilities or announced or publicized over any loud speaker system without first having obtained the written permission of THE THE SRC’s and the Ancient and Accepted Scottish Rite’s name shall not be used to suggest co-sponsorship or endorsement of any activity, without prior written approval by THE SRC. Termination of Program/Removal of Participants: THE SRC shall have complete authority to terminate any activities of THE USER and/or, in its sole discretion, remove any participants conducting themselves in a manner deemed unsafe or unacceptable to THE SRC with verbal or written notice to THE USER of not less than 5 minutes. THE USER will be responsible for any costs incurred in relocating any Right of Entry and Obstructions: The SRC’s Safety Personnel, Facilities and Engineering Personnel and local fire department personnel reserve the right to enter THE USER at any time during the term of this THE USER agrees that it shall not obstruct any sidewalks, doors, passages, or ways of access to or through the facilities. Notices: Any notice or communication to be given under this Letter of Agreement shall be in writing and shall either be sent by registered or certified mail, return receipt requested, postage prepaid, or sent by private carrier provided that such carrier shall provide proof of delivery, postage prepaid, to the attention of the undersigned at the address given (in the case of THE SRC) or on the first page of this Letter of Agreement (in the case of THE USER) with a copy to: General Counsel, Ancient and Accepted Scottish Rite PO Box 30817 Charleston, SC 29417 THE USER’s Representation: THE USER hereby covenants, represents, and warrants that it is Incorporated organized under the laws of the State of South Carolina, registered to do business and in good standing under the laws of the State of South Carolina, and by proper action has been duly authorized to execute and deliver this Agreement, to enter into the transaction contemplated hereby, to carry out its obligations hereunder, and that each person executing this Agreement on behalf of THE USER is a representative of THE USER who is duly authorized to execute and deliver this THE USER shall furnish THE SRC with suitable evidence of the above simultaneously with the execution of this Agreement by THE USER. Assignment: THE USER, for itself, its successors, and assigns, expressly covenants that it shall not assign, mortgage or encumber this Agreement, nor underlet or suffer or permit the demised facilities or any part thereof to be used by others, without the prior express written consent of THE SRC in each The consent of THE SRC to an assignment or underletting shall not in any manner be construed to relieve THE USER from obtaining the express consent in writing of THE SRC to any further assignment or underletting nor shall it relieve THE USER from the obligation to pay the rental fee hereunder. Furthermore, THE SRC sound systems will not be used by a band, disc jockey or concurrently while other amplified sound is being used. Catering & Bar service: Catering or Food Service company being used must be submitted and approved to and by THE SRC not less than 21 days prior to the event. Failure to provide this information may result in the CANCELLATION of the event and the forfeiture of the Security Deposit and all other fees. Breach: Any breach of any of the terms in this Agreement shall be considered an item of default and THE SRC, in addition to exercising all remedies available at law, may immediately cease all functions of THE USER until such a default is remedied to THE SRC’s

Additional Terms and Conditions:
